Rosner, Brown, Touchstone & Keller is excited to announce a new name for the firm, we will now be called RBTK, LLP. The new name gives us a new look as well, as we officially welcome the new staff at RBTK, LLP. Keeping the history behind Rosner, Brown, Touchstone & Keller and combining the new employees gives us a fresh, but secure new image. 

Our organization would like to recognize our new employees as a part of the team who stands by their commitment to customers and honors the values at RBTK, just as we always did with Rosner, Brown, Touchstone & Keller. The name RBTK keeps the history but is more concise and highly distinguishable.

How To Structure Your Business

One of the most exciting yet intimidating things you could do is start your own business.  With the excitement of going out on your own comes the fear of failure as well as the unknown.   A common question for most people diving into the world of owning their own business is the question of, How do I structure my business?  Do I structure it as a sole proprietorship, or do I go with a corporation in Delaware since most websites regarding business structure suggest this?  Is a corporation better than an LLC, or should I start a limited partnership?  Starting a new business can be overwhelming and because there can be tax advantages and disadvantages that go along with your choice of structure; it is wise to speak with an accounting expert such as a CPA.  Learn the 4 main types of structures (Sole Proprietorship, Partnership, Corporation, LLC) available to the new business owner.

Sole proprietorship.  The sole proprietorship is the easy of all entities to set up because it is not a separate tax or legal entity, but rather and extension of the individual taxpayer.   The business has no existence apart from the owner and its liabilities are the owner’s personal liabilities.  There is no special tax return to file, the owner reports all transactions of the business on their individual federal income tax return (i.e. Schedule C, Form 1040).  Some advantages include, but are not limited to, low cost of organization, less complicated administration and it is easily converted to another type of entity.  Some disadvantages include, but are not limited to, personal liability by the owner; self-employment taxes assessed against the owner and limited fringe benefits permissible to owner.

Rosner Brown Touchstone & Keller Charity Golf Tournament Announced

2nd Annual Event To Benefit Barry Zito’s Strikeouts For Troops and Bayside Community Center

San Diego, Calif. (April 12, 2013) – On Thursday, June 6, Rosner Brown Touchstone & Keller (RBTK) will be hosting a very special golf tournament to benefit Strikeouts For Troops and Bayside Community Center at the spectacular Rancho Bernardo Inn.  The tournament will bring golfers together in a scramble format for a day of fun and camaraderie that will include lots of contests, gifts and awards, along with a very special auction.

                           

In addition to the golf, everyone will have a chance to win great prizes in the hole-in-one, long drive, and putting competitions.  There will also be lunch provided to golfers and a catered post-event awards party.  Attendees will have to opportunity to participate in a silent auction with many exciting items available.  Additionally, the recently renovated, 18-hole California Championship Golf Course at the Rancho Bernardo Inn has hosted both PGA and LPGA events and continues to present golfers of all skill levels with a challenging and rewarding day on the course.

 

Strikeouts for Troops is a national non-profit organization founded by San Francisco Giant’s star Barry Zito with a mission to giving back to military heroes while providing the ‘comforts of home’ and lifting the spirits and morale of our injured troops and their families in their greatest time of need.

 

Bayside Community Center is a non-profit agency dedicating to improving quality of life by providing youth, senior, and family services to the Linda Vista community.

New Year Brings New Changes in Tax Laws

With the New Year comes new changes in tax laws.  Much of the second half of 2012 was dominated by the talk of a “Fiscal Cliff”.  If you are like most taxpayers, then news reporters as well as Congress left you more confused than ever when regarding to the Fiscal Cliff.  Several Americans were only aware that if Congress did not act before January 1, 2013, then their taxes would raise.  Well Congress did act, but was it beneficial to you the people? 

Not only did Congress pass the Taxpayer Relief Act of 2012, but H.R. 8 also enacted provisions from the 2010 health care reform legislation on January 1, 2013.  If you think the “Fiscal Cliff” was confusing, try making sense of the Health Care Act, otherwise known as the Affordable Care Act.  Below are a few features that were enacted and could possibly affect you:

-Individual Income Tax Rates- A new top rate of 39.6% is imposed on taxable income over $400,000 for single filers, $425,000 for head of household filers, and $450,000 for married taxpayers filing jointly ($225,000 for each married spouse filing separately). 

-Capital Gains and Dividends- A 20% rate applies to capital gains and dividends for individuals above the top income tax bracket threshold; the 15% rate is retained for taxpayers in the middle brackets.  The zero rate is retained for taxpayers in the 10% and 15% brackets.

-Estate and Gift Tax- The estate and gift tax exclusion amount is retained at $5 million indexed for inflation ($5.12million in 2012), but the top tax rate increases from 35% to 40% for decedents dying, gifts made, and generation-skipping transfers made on or after January 1, 2013.  The estate tax “portability” election, under which, if an election is made, the surviving spouse’s exemption amount is increased by the deceased spouse’s unused exemption amount, is made permanent by the act.

These provisions are not even the tip of the iceberg when it comes to the fiscal cliff and the Affordable Care Act, but they can give you an idea as to what is going on in Congress.  In order to get a better understanding of how these two acts affect you personally a well as your tax planning it is advised to seek the guidance of a tax professional such as a Certified Public Accountant (CPA).
